Terms of Service

Effective date: 7 September 2026.

These Terms form an agreement between you and UAB “Logic4”, company code 302306397, registered office at Lazdynėlių g. 18-6, LT-04126 Vilnius, Lithuania (“Ylips”, “we”). By using www.ylips.com or creating an account, you agree to these Terms and the Privacy Policy.

1. What Ylips does and the parties’ roles

Ylips is a software platform for service providers, offering public profiles and websites, scheduling, bookings, client records, team collaboration, product recommendations and orders, gift cards, discounts, campaigns, analytics, subscriptions, and related notifications.

The service provider is the independent seller of its services and goods. Ylips is not its employer, agent, service performer, or a party to the contract between the provider and client. The provider sets the offer, price, taxes, availability, cancellation, refund, deposit, warranty, and health or safety policies and is responsible for their legality and performance.

2. Eligibility

An account is for adults using Ylips for professional or business activity and authorised representatives of legal entities. By registering, you confirm that you can enter into this agreement and that your information is accurate. A younger client may use public booking only with a parent’s or guardian’s permission where required by law or by the nature of the service.

3. Accounts and security

  • Protect passwords, sign-in links, and devices, and notify us promptly of unauthorised access.
  • Do not transfer an individual account. An organisation owner is responsible for team permissions, roles, and removals.
  • Keep contact, business, and billing details current. Activity through your account is treated as yours unless you timely reported a security compromise.

4. Service-provider responsibilities

A service provider must:

  • hold all rights, licences, and permissions required for its business, services, advertising, prices, taxes, and consumer obligations;
  • publish accurate information and honour confirmed bookings, orders, gift cards, refunds, and its stated policies;
  • process client data lawfully, transparently, and minimally, provide its own privacy information, and enter GDPR Article 28-compliant processing terms with us where applicable;
  • not collect sensitive or health data without a clear need, a valid GDPR Article 9 condition, and enhanced safeguards;
  • have the right to use and publish uploaded content, including client photos, reviews, and contacts, and comply with marketing and electronic-communications law; and
  • handle client complaints and data-rights requests promptly.

5. Bookings, orders, and gift cards

Ylips sends a client’s selection to the provider and may send confirmation, verification, reminder, or cancellation messages. A booking is accepted according to the confirmation method stated on the provider’s page. Ylips does not guarantee service quality, outcome, availability, or that either party will attend.

A product order or gift-card contract is with the provider offering it. That provider is responsible for payment instructions, delivery, validity, redemption, refunds, taxes, and mandatory consumer rights. Ylips may technically create the order, code, QR document, or transmit a payment link, but does not hold client funds unless the specific checkout clearly says otherwise.

6. Plans, payments, and subscriptions

The applicable price, functions, billing period, taxes, and trial are displayed before a plan is ordered. Stripe processes paid plans, and its terms apply to the payment method and payment-data processing. A subscription renews automatically for each displayed period until cancelled.

You can cancel in billing settings. Cancellation takes effect at the end of the current paid period, with access continuing until then. Plan changes may result in prorated adjustments calculated by Stripe. Charges are non-refundable unless the offer states otherwise or applicable law requires a refund. After reasonable notice, we may restrict paid features for non-payment.

7. Content and intellectual property

You retain rights in content you upload. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, technically modify, translate, display, and transmit it only as needed to provide and secure Ylips, promote your public profile, and perform your selected functions. The public-content licence ends when you remove the content, subject to a reasonable period for caches, backups, and lawful retention.

The Ylips software, design, marks, and our content belong to us or our licensors. We grant a limited, revocable, non-transferable right to use the service under these Terms; no ownership transfers.

8. Prohibited use

You must not publish or transmit illegal, misleading, defamatory, discriminatory, violent, sexually exploitative, privacy-infringing, or intellectual-property-infringing content; impersonate others; send unlawful marketing; distribute malicious code; evade security or access controls; disrupt the service; scrape data without written permission; attempt to derive source code; or use Ylips for activity prohibited by law.

Report potentially illegal content to [email protected] with the specific URL, reasons, your contact details, and a good-faith statement that the information is accurate. We may restrict content or an account where we reasonably believe these Terms or the law were breached and will give reasons where law and security permit.

9. Service operation and third parties

We aim for reliable operation, but the service is provided as available and may be temporarily unavailable for maintenance, security, provider, connectivity, or force-majeure reasons. We may change or discontinue a function; where a change materially reduces a paid service, we will give reasonable advance notice and any remedy required by law.

Payment, external-product, social-network, and other third-party services operate under their own terms. We are not responsible for their separate services, without limiting liability that cannot legally be excluded.

10. Suspension and termination

You may stop using Ylips and close the account in account settings. Before closing, arrange a copy of your data or contact us for an export. We may suspend or terminate an account for a material breach, security risk, illegal content, harm to others, or non-payment and, where appropriate, first give an opportunity to cure.

After termination, the public profile and functions may become unavailable. Data is handled and deleted under the Privacy Policy, applicable processor terms, and mandatory retention rules. Provisions on payments, intellectual property, liability, and disputes survive to the extent their nature requires.

11. Liability

To the extent permitted by law, we are not liable for indirect loss, lost revenue, reputation or data loss, a provider’s conduct, a client’s non-attendance, or third-party services. Our aggregate liability concerning Ylips in any 12-month period is limited to the amount you paid for Ylips in that period.

These limits do not apply to intent, gross negligence, death or personal injury, data-protection liability, or other liability that cannot legally be limited. You are responsible for your services, content, legal violations, and reasonable third-party claims resulting from your conduct.

12. Changes

We may change these Terms for legal, security, technology, provider, or service reasons. We will publish the new version here. We will give advance email or in-service notice of material changes affecting an account or paid plan; if you disagree, you may stop using the service before they take effect.

13. Law and disputes

Lithuanian law applies. We will first try to resolve a dispute through discussion; email [email protected]. Disputes related to professional or business activity are subject to the competent courts of Vilnius. If mandatory law treats you as a consumer, you keep the mandatory rights and jurisdiction of your residence.
